The Offering will consist of up to 13,636,364 units (each a "Unit") at a price of $0.11 per Unit. Each Unit will consist of one common share in the capital of the Company (a "Common Share") and one-half (1/2) common share purchase warrant (a "Warrant"). Each whole Warrant will entitle the holder to purchase one Common Share for an exercise price of $0.13 during the first 12 month period after the closing of the Offering and $0.15 during the second 12 month period after the closing of the Offering.
