MedX Health Corp. (“MedX” or the “Company”) (TSX-V: MDX). The Company announces that, effective January 23, 2018, it closed a non-brokered private placement. On Closing of the placement, the Company raised gross proceeds of $1,658,520 to its treasury by issuance of 13,821,000 Units, comprising 13,821,000 common shares (“Share(s)”) and 13,821,000 share purchase warrants (“Warrants”) at $0.12 per Unit. Each Warrant entitles the holder to purchase one additional Share during the period expiring January 23, 2021, at $0.20 per share. At Closing, a total of 343,260 Compensation Options were issued to finders; each Compensation Option comprises a non-transferable Finder’s Warrant, exercisable for a period of three years, to acquire a Unit at $0.12, comprising a Share and a Warrant exercisable until January 23, 2021, at $0.20. Finder commissions of $41,191 were also paid in cash from the gross proceeds. The securities issued on January 23, 2018 are restricted from trading before May 24, 2018. Included in the proceeds is an amount of $33,000 representing 275,000 Units subscribed for by an Insider.

Following this placement, MedX has 126,564,129 shares outstanding.
