CALGARY, May 1, 2017 /CNW/ - Maple Leaf Green World Inc. (TSXV: MGW) (the "Maple Leaf" or the "Company") is pleased to announce that, further to its press releases on March 17, 2017, and March 21, 2017, due to higher than anticipated demand and its increased capital requirements in connection with its engineering and construction plans for its proposed cannabis growing facility in Telkwa, British Columbia (the "Telkwa Facility"), the Company has increased its previously announced private placement to an offering of 13,216,070 units of the Company ("Units") a price of $0.55 per Unit, for aggregate gross proceeds of $7,268,838.50 (the "Offering"). Each Unit will consist of one common share of Maple Leaf ("Common Shares") and one Common Share purchase warrant ("Warrants"). Each whole Warrant will be exercisable into one Common Share at a price of $0.85 per Common Share for a period of two years from the date of issuance. The Corporation intends to use the net proceeds from the Offering to advance the Telkwa Facility. Remaining proceeds, if any, will be used for general corporate purposes.

The Corporation is also pleased to announce that it has received conditional approval of the Offering from the TSX Venture Exchange (the "TSXV"), subject to meeting the conditions of the TSXV. The Offering is scheduled to close on or about May 4, 2017 and is subject to certain conditions including, but not limited to, the receipt of all necessary approvals including the final approval of the TSXV. The securities to be issued under the Offering will be subject to a four month hold period in accordance with applicable Canadian securities laws.
