CHARLOTTE, N.C. -- 

EnPro Industries, Inc. (NYSE: NPO) today commented that its offer to exchange up to $350 million of 5.75% Senior Notes due 2026 (the “New Notes”), which have been registered under the Securities Act of 1933, as amended, for its outstanding unregistered 5.75% Senior Notes due 2026 issued on October 17, 2018 (the “Original Notes”) (CUSIP Nos. 29355X AF4 and U29300 AC1) is scheduled to expire at 5:00 p.m., New York City time, on Thursday, May 9, 2019 (the “expiration time”).

The exchange offer is being conducted to satisfy the Company’s obligations under the terms of registration rights agreement entered into in connection with the sale of the Original Notes completed on October 17, 2018 and does not represent a new financing transaction. The Company will not receive any proceeds from the exchange offer. The terms of the New Notes are substantially identical to those of the Original Notes, except that certain transfer restrictions, registration rights and additional interest provisions related to the registration rights applicable to the Original Notes do not apply to the New Notes.

Holders must tender their Original Notes on or prior to the expiration time if they wish to participate in the exchange offer. Tenders of Original Notes may be validly withdrawn at any time on or prior to the expiration time.
