NEW YORK -- 

TelevisaUnivision, Inc., the leading Spanish-language content and media company in the world, today announced that its wholly-owned subsidiary, Univision Communications Inc. (the “Company”), has priced its offering of $400 million aggregate principal amount of 7.375% senior secured notes due 2030 (the “Notes”). The Notes are being offered as a further issuance of, and will be consolidated with and form a single series with, the $500 million aggregate principal amount of 7.375% senior secured notes due 2030 that were originally issued on June 24, 2022. The offering of the Notes is expected to close on or about August 26, 2022, subject to customary closing conditions.

The Company intends to use the net proceeds from the offering, together with cash on hand, to prepay approximately $400 million aggregate principal amount of its term loans due 2024, which prepayment is expected to occur substantially concurrently with the closing of this offering.

The Notes are general senior secured obligations of the Company and will be guaranteed by all of the Company’s wholly-owned domestic subsidiaries that guarantee the obligations under the Company’s senior secured credit facilities and existing senior secured notes.

The Notes and the related subsidiary guarantees are being offered to persons reasonably believed to be qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”), and to non-U.S. persons outside the United States pursuant to Regulation S under the Securities Act. The Notes and the related subsidiary guarantees have not been registered under the Securities Act and may not be offered or sold in the United States without registration or an applicable exemption from the registration requirements of the Securities Act.
