INTERIM FINANCIAL STATEMENTS AND MANAGEMENT’S DISCUSSION AND ANALYSIS

WHEREAS the condensed interim consolidated financial statements of the Corporation have been prepared for the period ended September 30, 2019, together with the notes thereto, (collectively, the “Financial Statements”), as well as management’s discussion and analysis (the “MD&A”) in respect thereof; and

WHEREAS the Audit Committee has reviewed the Financial Statements and MD&A and has recommended that the Corporation’s board of directors approve the Financial Statements and MD&A;

BE IT RESOLVED:

THAT the Financial Statements and MD&A circulated to the directors are hereby authorized and approved; and

THAT the filing of the Financial Statements and the MD&A with the regulatory authorities and their distribution to the shareholders of the Corporation are hereby approved.
