TORONTO -- 

Real Matters Inc. (“Real Matters” or the “Company”) (TSX: REAL) announced today that it has received approval from the Toronto Stock Exchange (“TSX”) to renew its Normal Course Issuer Bid for a 12-month period commencing June 11, 2021 and ending June 10, 2022 (the “NCIB”). Under the NCIB, the Company may purchase up to 4,000,000 common shares in its capital (being approximately 5.2% of the 76,489,997 common shares in the public float as at May 31, 2021) for an aggregate purchase price not to exceed C$70 million. Purchases under the NCIB will continue to be made through the facilities of the TSX and alternative Canadian trading systems at the prevailing market price at the time of acquisition. The actual number of common shares purchased by the Company under the NCIB and the timing of such purchases will be determined by the Company.

As at May 31, 2021, the Company had 82,135,513 common shares issued and outstanding. Subject to certain prescribed exceptions, daily purchases under the NCIB will be limited to a maximum of 153,956 common shares, which is 25% of the average daily trading volume of the Company’s common shares for the six months ended May 31, 2021 (being 615,827 common shares).

The Company believes that, at times, the prevailing share price for its common shares does not reflect its underlying value such that the purchase of common shares for cancellation represents an attractive opportunity to return value to the Company’s common shareholders. The Company uses the NCIB in conjunction with its capital allocation strategy. All common shares purchased under the NCIB will be cancelled.

Real Matters’ previously approved NCIB (the “Current NCIB”) commenced on June 11, 2020, and will expire on June 10, 2021, or such earlier date as the Company has acquired 6,000,000 common shares or purchased shares having an aggregate purchase price of C$100 million. Since commencement of the Current NCIB, Real Matters has purchased for cancellation 4,596,034 common shares through the facilities of the TSX and alternative Canadian trading systems at a weighted average price of C$17.70. Since the inception of the Company’s first NCIB in June 11, 2018, the Company has acquired a total of 11,642,209 common shares at a weighted average price of C$11.50.

The Company has entered into an automatic share purchase plan (“ASPP”) with National Bank Financial Inc. to allow for the purchase of common shares under the NCIB at times when the Company would not ordinarily be active in the market due to its own internal trading blackout periods, insider trading rules or otherwise. Any purchases made under the ASPP will be based on a pre-arranged set of criteria determined by the Company.
