("Neptune" or the "Company") (NASDAQ: NEPT) (TSX: NEPT), a diversified and fully integrated health and wellness company focused on plant-based, sustainable and purpose-driven lifestyle brands, today announced the delay of the filing of its annual financial statements beyond the prescribed deadline of June 30, 2021.  The delay is due primarily  to additional information, arising fromtwo transactions with new customers, necessary in order to determine the appropriate accounting treatment, and to complete the audit. Management and the audit committee, will continue to work towards the completion of the annual financial statements, and cooperate with its auditors to provide all necessary information to complete the audit as soon as possible.  The Company expects that annual financial statements will be filed on or about July 15, 2021. Following the release of its financial results, the Company will host a conference call to discuss financials and provide a business update. Details of the time and date for the earnings call will be announced in due course

The Company has applied to the applicable Canadian securities regulatory authorities for a management cease trade order ("MCTO").  There is no certainty that the MCTO will be granted.  Until the Required Documents are filed, the Company intends to satisfy the provisions of the alternative information guidelines in accordance with National Policy 12-203 – Management Cease Trade Orders by issuing bi-weekly status reports in the form of news releases.

The applicable Canadian securities regulatory authorities may issue a general cease trade order against the Company for failure to file the Required Documents within the prescribed time period or sooner if the Company fails to file its status reports during the prescribed time limits.  There are no insolvency proceedings that the Company is subject to and there is no other material information concerning the affairs of the Company that has not been previously disclosed.
