TORONTO, ON / ACCESSWIRE / November 5, 2020 / GlobeX Data Ltd. (OTCQB:SWISF) (CSE:SWIS) ("GlobeX" or the "Company"), the leader in Swiss hosted secure data management and secure communications, is pleased to announce that it has closed a private placement offering on November 04 2020, issuing a total of 2,504,182 Units (as defined below) at a price of CA$0.12 per Unit for total gross proceeds of CA$300,501.84 and net proceeds of CA$295,221.84.

Each Unit consists of one common share (a "Share") and one share purchase warrant (a "Warrant"). Each Warrant will entitle the holder to purchase an additional share at a price of $0.15 per share for a two-year term (the "Warrant Term"). The Company will have the right to accelerate the expiry date of the Warrant Term provided that the Company's VWAP on the CSE is at or above $0.25 for a period of 10 consecutive trading days. In the event of acceleration, the expiry date of the Warrant Term will be accelerated to a date that is 10 business days the Company issues a news release announcing that it has elected to exercise this acceleration right.

A finance fee in relation to the private placement was paid to PI Financial Corp. In the amount of CA$4,320.00 and a finance fee in relation to the private placement was paid to Canaccord Genuity Corp. In the amount of CA$960.00. No broker warrants were paid or issued as part of this private placement.
