First Quantum Minerals announces Senior Notes offering

VANCOUVER, Feb. 20, 2018 /PRNewswire/ - First Quantum Minerals Ltd. ("First Quantum" or the "Company", TSX Symbol "FM") today announced that it is launching an offering of $1,500 million of Senior Notes due 2024 (the "2024 Notes") and Senior Notes due 2026 (the "2026 Notes" and together with the 2024 Notes, the "Notes").

The Notes will be senior obligations of the Company and will be guaranteed by certain of the Company's subsidiaries. Interest will be payable semi-annually. The interest rate, offering price and principal amount of each series of the Notes along with certain other terms will be determined at the time of pricing of the offering, subject to market conditions.

The Company intends to use the proceeds from the sale of the Notes (i) to repay amounts drawn and outstanding under the Company's revolving credit facility entered into on October 19, 2017 with a view to providing liquidity sufficient to fund the Company's share of remaining capital expenditures relating to the Cobre Panama project, (ii) to repay certain indebtedness under the Company's term loan facility entered into on October 19, 2017, (iii) for general corporate purposes and (iv) to pay fees associated with the offering. The Company has prepared an offering memorandum which will be made available to selected prospective purchasers of the Notes.
