("BSM" or the "Company") (TSX: GPS), a leading provider of remote monitoring, fleet management, fleet diagnostics and automated vehicle security systems, today announced the voting results from its annual general and special meeting of shareholders (the "Meeting") held yesterday in Toronto.

A total of 46,983,057 common shares, representing approximately 52.84% of the Company's outstanding common shares as of the record date of February 9, 2016, were voted in person or by proxy at the Meeting.

BSM shareholders voted in favour of all items of business, including the election of the following director nominees:

In addition to the election of the director nominees, BSM's shareholders also approved:

• The resolution approving the re-appointment of PricewaterhouseCoopers LLP as the auditor of the Company to hold office until the next annual meeting of shareholders of the Company, and the authorization of the directors of the Company to fix the auditor's remuneration, with 46,936,685 (99.90%) total votes cast "FOR" and 46,370 (0.10%) total votes "WITHHELD";
• The resolution approving the replenishment of previously redeemed or cancelled restricted share units issued under BSM's restricted share unit plan (the "RSU Plan"), certain amendments to the RSU Plan and all unallocated restricted share units issuable pursuant to the RSU Plan, the full text of which is set out in BSM's management information circular, with 34,444,381 (74.51%) total votes cast "FOR" and 11,782,567 (25.49%) total votes "WITHHELD";
• The resolution approving the replenishment of previously redeemed deferred shares units issued under BSM's deferred share unit plan (the "DSU Plan"), certain amendments to the DSU Plan and all unallocated deferred share units issuable pursuant to the DSU Plan, the full text of which is set out in BSM's management information circular, with 37,389,086 (80.88%) total votes cast "FOR" and 8,837,862 (19.12%) total votes "WITHHELD".
